About the role
We are seeking an experienced attorney to join our legal team as assistant general counsel, commercial. This individual will be a core member of the legal function and will work closely with the product, engineering, business development, partnerships, marketing, and operations teams.
The AGC commercial will lead the development, negotiation, and management of a wide range of commercial agreements across the firm and its various affiliates. You will also advise internal teams on legal risks and obligations related to product launches, vendor relationships, marketing, and strategic partnerships — all in the context of both traditional financial regulations and cutting-edge digital asset frameworks.
This role requires a practical, solutions-oriented attorney who excels in fast-paced, ambiguous environments and is excited to tackle novel commercial issues in a first-of-its-kind industry.
Key responsibilities
- Draft, review, and negotiate a broad range of commercial agreements including partnership, technology, licensing, SaaS, vendor, marketing, and NDA agreements
- Serve as a key legal advisor for go-to-market and partnership initiatives, helping structure complex commercial arrangements across a global regulatory landscape
- Support product, engineering, and protocol teams by identifying and managing legal risks related to product launches, integrations, and external collaborations
- Partner with marketing and communications teams to ensure advertising, content, and promotional materials comply with legal and regulatory standards
- Build and maintain scalable playbooks, templates, and processes for high-volume commercial legal workflows
- Support vendor and procurement operations including vendor onboarding and ongoing compliance monitoring
- Collaborate cross-functionally with finance, compliance, risk, and security teams to drive aligned commercial decision-making
- Stay abreast of legal and regulatory developments impacting Web3, DeFi, and tokenized assets, and translate those into business-practical guidance
- Provide legal training and education to internal teams on commercial risk, compliance requirements, and contracting best practices
- Assist with internal legal operations and contribute to broader strategic initiatives as a senior member of the legal team
Requirements
- JD degree from an accredited U.S. law school
- 6–8+ years of experience handling complex commercial transactions, preferably at a top-tier law firm and/or high-growth technology or fintech company
- Proven ability to negotiate and manage a wide array of commercial contracts and business arrangements
- Deep understanding of technology and software transactions; familiarity with Web3, DeFi, and tokenization is a plus
- Working knowledge of applicable U.S. laws and regulations relating to advertising, consumer protection, data privacy, IP, and blockchain/digital assets
- Strong interpersonal and communication skills with a demonstrated ability to work cross-functionally
- Highly organized, detail-oriented, and capable of managing multiple projects in a fast-paced, evolving environment
- Ability to provide crisp, clear, and actionable legal advice under tight deadlines
- Comfortable operating both independently and collaboratively in an ambiguous legal and regulatory environment
